PREAMBLE
The Reverb Payments service (f/k/a Direct Checkout) is the universal payment system that allows Reverb buyers to choose from all payment methods available on Reverb.com, Reverb LP and Reverb mobile apps. Reverb Payments users can pay by credit card, debit card, Reverb gift card, Reverb Credits, Referral Rewards, and PayPal. These terms and conditions explain your rights and obligations when using Reverb Payments.
1. Overview
A. Legal Agreement. By using the Reverb Payments service (“Reverb Payments”) on Reverb.com or Reverb LP (collectively the “Site”) as a seller (“Registered Seller” or “Registered Sellers” or “you”), you agree to be bound by the terms and conditions of this Reverb Payments Terms of Use Agreement (the “Agreement”). The Agreement is a legal agreement between you and Reverb.com, LLC (“Reverb,” “we,” or “us”).
B. Registration Required. In order to accept payments directly through the Site, sellers must register for a Reverb Payments Account (“Reverb Payments Account”) and use Reverb Payments. Reverb Payments allows Registered Sellers to accept authorized credit card and debit card transactions and PayPal transactions (“Payment Transactions”), have those funds credited to Registered Seller’s Reverb Payments Account, and have those funds subsequently deposited into Registered Seller’s designated bank checking account (“Bank Checking Account”). Buyers may authorize a Payment Transaction with any major credit card accepted by Reverb, or a Reverb gift card. A Registered Seller may also accept payment through Reverb Payments pursuant to the Reverb Credits Program and the Reverb Credits User Agreement. Reverb Gift Cards, Reverb Referral Rewards, and other promotional codes available to buyers are supported in the form of Reverb Credits. Please see the Reverb Credits User Agreement for information as to how payments are made and processed using Reverb Credits. Reverb may use a third party processor such as Adyen to process payments. By using the Site, you agree to such terms and conditions.
C. Appointment of Reverb as Limited Payment Collection Agent for Registered Sellers. Each seller appoints Reverb as its agent for the limited purpose of receiving, holding, and settling payments to Registered Sellers. Reverb will settle payments that are actually received by Reverb to each Registered Seller, less any amounts owed to Reverb and subject to these Terms. Each Registered seller agrees that a buyer payment received by Reverb, on behalf of Registered Seller, satisfies the buyer's obligations to make payment to Registered Seller, regardless of whether Reverb actually settles such payment to Registered Seller. If Reverb does not settle any such payments as described in these Terms to a Registered Seller, such Registered Seller will have recourse only against Reverb and not the buyer.
D. Availability. Reverb Payments is generally available seven (7) days per week, twenty-four (24) hours per day, except for scheduled downtime due to system maintenance.
E. Eligibility. Reverb Payments is only available to sellers who are approved for a Reverb Payments Account (a “Registered Seller”). Sellers must additionally meet the following requirements to obtain and maintain Registered Seller status:
- sellers must be at least 18 years old to register for a Reverb Payments Account
- prior to enrolling, sellers must register bank account information and undergo identity verification
- sellers must be current on all Reverb fees and have valid payment information on file
- once enrolled, sellers must maintain an average of 4 of 5 star or 80% positive feedback ratio to continue to participate in Reverb Payments
- once enrolled, sellers must maintain a rate of order cancellation below 10% of their total order volume
- prior to enrolling, sellers must publish policies for refunds and returns for their shops
- once enrolled, sellers must maintain policies for refunds and returns for their shops
- once enrolled, sellers must continue to comply with this Agreement
F. Modifications. Reverb Payments functionality may be made available, modified, or discontinued by us at any time without notice and is subject to the limitations in Reverb’s general Terms of Use.
G. Transaction Limits. As a security measure, we may, but are not required to, impose transaction limits on some or all buyers, and/or Registered Sellers relating to the value of any transaction, deposit, or adjustment, the cumulative value of all transactions, deposits, or adjustments during a period of time, or the number of transactions per day or other period of time in accordance with Section 4c of this Agreement. We will not be liable to a Registered Seller: (i) if we do not proceed with a transaction, deposit, or adjustment that would exceed any limit established by us; or (ii) if we permit a buyer to withdraw from a transaction to avoid exceeding a Reverb-established transaction limit.
H. Right to Refuse Service. We may refuse service to anyone, for any reason, at any time.
2. Payment Transactions
A. Payment Methods. Buyers may authorize a Payment Transaction with any major credit card accepted by Reverb, PayPal, a Reverb Gift Card, or any other form of Reverb Credits.
B. Compliance with Terms of Use. By registering for Reverb Payments, a Registered Seller agrees to always comply with and to sell items in accordance with Reverb’s general Terms of Use.
C. Reverb Payments is Solely for Reverb Transactions. The use of Reverb Payments must be solely for the sale of items listed on the Site. A Registered Seller agrees to ship sold item(s) once the Payment Transaction is complete and reflected in his or her Reverb Payments Account. Reverb reserves the right to terminate a Registered Seller’s access to Reverb Payments if a Registered Seller is determined to be using Reverb Payments for transfer of funds not related to the sale of items listed on the Site.
D. Right to Reject High Risk Transactions. Reverb reserves the right to review and/or decline any Payment Transactions that we have reason to believe may be high risk, fraudulent, or in violation of this Agreement.
E. Fraud. Reverb will bear the risk of credit card fraud (i.e. fraudulent purchase arising from the theft and unauthorized use of a third party’s credit card information) occurring in connection with Payment Transactions. In the event Registered Seller is indirectly or directly involved with and/or participates in any credit card fraud, Reverb will not be liable and you will be subject to indemnification obligations set forth in Reverb’s general Terms of Use. In the event that a buyer changes a shipping address after payment funds have been cleared to the seller, Reverb cannot bear risk of fraudulent payments.
F. Privacy. Reverb maintains records associated with Payment Transactions and does not pass any confidential data, including credit card numbers, to Registered Sellers. Registered Sellers will receive shipping information and limited buyer account information only as needed to complete the order. Use of this information is dictated by our Privacy Policy.
3. Reverb Payments Account
A. Registered Sellers. Reverb Payments is only available to Registered Sellers. A Reverb Payments Account allows Registered Sellers to track payment amounts, refunds, and fees related to Payment Transactions. Prospective Registered Sellers must provide personal information as requested during registration, must provide Reverb true and accurate information, and must maintain and update that information as necessary. Prospective Registered Sellers will not impersonate any person or use a name he or she is not legally authorized to use. A prospective Registered Seller authorizes us, and our authorized agents, to verify his or her information (including any updated information) by accessing public records and to obtain credit reports about prospective Registered Seller in order to approve prospective Registered Seller for use of the Reverb Payments service. Registered Seller also authorizes us to verify his or her information from time to time while Registered Seller is using Reverb Payments. The Reverb Payments service is available only to individuals who meet the terms stated in this Agreement.
B. Audit Rights. Reverb reserves the right to conduct periodic reviews of Registered Seller’s registration information and usage of Reverb Payments.
C. Intra-User Disputes. A Registered Seller will attempt to resolve any dispute directly with a buyer before seeking the assistance of the Reverb Customer Support Team. In the event of a dispute being escalated to Reverb’s Customer Engagement Team, Reverb reserves the right to issue a refund to the buyer if the disputed transaction is found to be in violation of Reverb’s general Terms of Use. In the event of chargebacks submitted by a buyer, Reverb will respond to credit card networks on behalf of Registered Seller; Registered Seller agrees to provide any requested information to us within five calendar days of the request. Reverb reserves the right to recoup funds associated with buyer chargebacks in accordance with Section 5 of this Agreement.
D. Communication of Transactions. We will inform Registered Sellers of each Payment Transaction, and other information pertaining to Reverb Payments, using our standard communication procedures, including email or other messaging services associated with Registered Seller’s Reverb Payments Account.
E. Refunds and Adjustments. Registered Sellers may provide refunds or adjustments to buyers for their Payment Transactions made on Reverb using refund functionality enabled by Reverb and accessible through the Reverb Payments Account. Funds to cover refunds will be charged to Registered Seller's credit card on file. REGISTERED SELLER EXPRESSLY CONSENTS TO THESE CHARGES.
F. Cancelled Transactions. Fully refunded Payment Transactions may be eligible for cancellation in accordance with customer service guidelines.
G. Access to Transaction Information. Registered Sellers can access Payment Transaction information online in his or her Reverb Payments Account. Registered Sellers may access the Reverb Payments Account only with a browser that is compatible with Reverb Payments, including any security features that are a part of Reverb Payments.
4. Deposits
A. Balance Information. All funds resulting from a completed Payment Transaction will be reflected as a balance in Registered Seller’s Reverb Payments Account. Payment Transactions are considered complete once the payment is approved by Reverb. If Registered Seller’s first sale date is less than ninety (90) days from the day Registered Seller registers for Reverb Payments, Payment Transaction completion also requires that the sold item is marked as “shipped” using the tools made available in Registered Seller’s Reverb Payments Account. Any refunds, adjustments, or other amounts paid to buyers in connection with purchases, or for funds received since the last Payment Date, as defined in Section 4b, are also applied to Registered Seller’s Reverb Payments Account balance. Funds in a Reverb Payments Account balance are eligible for deposit (“Available Balance”) into Registered Seller’s Bank Checking Account (“Cash Deposit”) at the end of any applicable deposit delay, reserve, or hold period as described in Section 4c.
B. Time to Payment. For your first sale, Reverb initiates your payout 24-48 hours following confirmation of delivery. Upon Registered Seller’s election of payment by credit card or Reverb gift card, we will initiate a Cash Deposit of Registered Buyer’s Available Balance into Registered Seller’s Bank Checking Account at a regular, agreed upon date (“Payment Date”) with the Registered Seller. Each Payment Date will fall on standard Monday through Friday “Business Days,” with the possible exclusion of US national and/or bank holidays. If the scheduled Payment Date interval falls on a non-Business Day, the Payment Date will then fall on the next regular Business Day on which transfers are completed. When Registered Seller either initially provides or later changes his or her bank account information, Registered Seller must wait at least five (5) calendar days to request a deposit into Registered Seller’s Bank Checking Account. The next scheduled deposit after a change to Bank Checking Account information will occur on the next scheduled Payment Date after a period of five (5) calendar days from the date of the requested change. Deposits into Registered Seller’s Bank Checking Account will generally be credited within three (3) to five (5) Business Days of the date we initiate the transfer, but actual timing may depend on how quickly the bank processes the request.
C. Right to Put Hold on Account. Right to Put Hold on Account. If we reasonably conclude, based on information available to us, that a Registered Seller’s actions and/or performance in connection with Reverb Payments may result in reporting obligations per applicable law or buyer disputes, chargebacks, or other claims, then we may, in our sole discretion, put into effect a hold, deposit delay, or reserve associated with Registered Seller’s Reverb Payments Account balance.
- A hold may be put on funds associated with a particular Payment Transaction in the event of disputes or investigations associated with the order for the shorter of: (a) 180 days after the estimated delivery date; or (b) completion of any investigation(s) regarding any Registered Seller actions and/or performance in connection with the Payment Transaction. Also, if a Registered Seller fails to provide required tax information as requested by Reverb to comply with applicable law and in accordance with Section 6 (C) below, a hold may be placed on that Payment Account balance until the Seller provides Reverb with the requested tax information.
- Deposit delays are defined as the number of days between a sale and the day the net amount from the sale becomes available for deposit, provided the payment has been completed as described in Section 4a. A deposit delay may be between 0 and 180 days. A deposit delay is applied across all Payment Transactions for Registered Seller.
- A reserve is defined as a fixed percentage of Registered Seller’s Reverb Payments Account balance which is delayed prior to being included as part of Registered Seller’s Available Balance for a period of up to 180 days. All holds, deposit delays, and reserves will be communicated to Registered Seller by email or a notice on the Site.
We will not be liable to a Registered Seller if we act in accordance with the provisions of this Section 4.
D. Failure of Existing Checking Account. In the event funds designated for cash payment cannot be deposited into Registered Seller’s Bank Checking Account, the funds will be made available in Registered Seller’s Reverb Payments Account balance. Registered Seller will be required to update his or her Bank Checking Account information and such funds will automatically be transferred to Registered Seller’s new Bank Checking Account within 7 business days.
5. Recoupment
A. Fraud of Delivery Failure. We reserve the right to seek reimbursement from a Registered Seller if we, in our sole discretion, provide a refund to a buyer if Registered Seller cannot promptly deliver the goods, or if we discover erroneous or duplicate transactions, receive a chargeback from buyer’s credit card issuer for the amount of buyer’s purchase from Registered Seller, or Registered Seller otherwise does not act in accordance with Reverb’s general Terms of Use.
B. Methods of Recoupment. We may obtain reimbursement of any amounts owed by Registered Seller to Reverb under Section 5a or otherwise by deducting the amounts owed from future payments owed to Registered Seller, reversing any credits to Registered Seller’s Reverb Payments Account balance, charging Registered Seller’s credit card on file, or seeking such reimbursement from Registered Seller by any other lawful means, including collections. You authorize us to use any or all of the foregoing methods to seek reimbursement, including the charging of your credit card or debiting from your checking account.
6. Fees for Sellers
A. Processing Fees. The payment processing fees for Reverb Payments vary by domicile of a Registered Seller’s bank and are applied to each order completed via Reverb Payments between a U.S. based buyer and a U.S. based Registered Seller. The payment processing fee is assessed on the gross amount of the sale, including tax and shipping. Unlike other fees, the payment processing fee is deducted from the transaction amount as the funds become available for deposit. Accordingly, Registered Seller will receive the gross amount of the sale, including tax and shipping, net the payment processing fee for Reverb Payments. An additional 1% fee will be assessed on cross-border transactions when the buyer and seller are located in different countries. For clarity, "cross-border" is defined by the location of the buyer's billing address or card issuing bank, not the currency or the shipping location. Processing fees will be reflected in your Reverb Payments Account.

B. Tax Reporting/1099.For U.S. Registered Sellers, Internal Revenue Service (“IRS”) regulations require that U.S. third-party settlement organizations and payment processors, including Reverb, file Form 1099-K to report unadjusted annual gross sales information for sellers that receive $600 or more in gross sales in a calendar year (reporting).
C. Tax Payer Information Requirement. As a result of these regulations, Registered Sellers who meet this threshold aggregated across their Reverb selling account, will be required by Reverb to provide taxpayer-identification information and will be notified via email and through other communication channels available on the Site. If a Registered Seller does not provide accurate taxpayer-identification in compliance with this Section, a hold may be placed on the Registered Seller’s Reverb Payments Account balance, pending provision of this information. See Section 4.C above for more information on Reverb’s right to put a hold on an Account.
7. Notice
All notices will be sent by email or will be posted on the Site or by any other means then specified by Reverb. We will send notices to a Registered Seller at the email address maintained in Reverb’s records for such Registered Seller. A Registered Seller will monitor his or her email messages frequently to ensure awareness of any notices sent by us and otherwise agrees to the notification clause in Reverb’s general Terms of Use. Registered Sellers will send notices to us using the functionality for contacting Reverb provided in our Support Section.
8. Termination
A. Reverb Termination. Reverb may terminate a Registered Seller’s use of Reverb Payments without notice to Registered Seller for any reason. Upon termination, any non-disputed available balance resulting from a Payment Transaction will be deposited into Registered Seller’s Bank Checking Account and Registered Seller will still have access to his or her Reverb Payments Account for at least 30 days following termination. We reserve the right, upon termination of access to the Reverb Payments service, to set off against any payments to be made to Registered Seller, an amount determined by us to be adequate to cover any anticipated chargebacks, refunds, adjustments or other amounts paid to buyers in connection with purchases from Registered Seller’s Reverb Payments Account for a prospective 180-day period. At the end of such 180-day period following termination, we will disburse to Registered Seller any amount not used to offset chargebacks, refunds, adjustments, or such other amounts paid to buyers, or seek reimbursement from Registered Seller via any of the means authorized in Section 5 above for any additional amount required to offset chargebacks, refunds, adjustments, or other amounts paid to buyers, as applicable. Refer to Reverb’s general Terms of Use for additional information regarding termination of a Registered Seller’s account.
Reverb reserves the right to alter these policies at any time
