#MyBloodyPairing Contest Terms and Conditions

RULES:

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE YOUR CHANCE OF WINNING. VOID WHERE INDICATED BELOW, AND/OR WHERE PROHIBITED BY LAW.

1. Eligibility: The My Bloody Pairing Contest (the “Contest”) is open only to those 18 years or older at the time of entry. Reverb.com LLC (the “Sponsor”) staff and their immediate family members (parents, children, spouses, siblings) and members of the same household are not eligible to accept prizes. The Contest and entrants’ participation is subject to Sponsor’s Terms & Conditions (https://reverb.com/page/terms), Privacy Policy (https://reverb.com/page/privacy) and the EU Data Transfer/GDPR Policy (https://reverb.com/page/eu-data-transfer-GDPR), which are hereby incorporated by reference as part of these Official Rules. The Contest is subject to all applicable federal, state, and local laws and regulations. Participation constitutes entrant’s (“Entrant”) full and unconditional agreement to these Official Rules, the Sponsor’s Terms and Conditions and Sponsor’s decisions, which are final and binding in all matters related to the Contest. Winning a prize is contingent upon fulfilling all requirements set forth herein and Sponsor verification.

2. SPONSOR. The Contest is made available to you by Reverb.com LLC ("Sponsor") located at 3345 North Lincoln Avenue, Chicago, IL 60647 United States.

3. DURATION. The Contest begins on Monday, July 16 2018, at 10:00AM Eastern Time (ET) and ends on Thursday, August 24th 2018, at 11:59PM ET (the “Contest Period”). Sponsor’s computer is the official time-keeping device for the Contest.

4. ELIGIBILITY. Open only to persons who have reached the age of majority in their state or country of residence, with a minimum age of 18 years as of the date of entry, who are permanent legal residents of the following countries (and who are physically located therein): Denmark, Finland, France, Germany, Netherlands, Norway, Republic of Ireland, the United Kingdom, the United States, and Australia. The Contest is subject to all applicable federal, state, and local laws and regulations and is void where prohibited, taxed, or restricted by law. Employees of Sponsor or any of its subsidiaries, affiliates, or agencies, or members of their immediate families, or persons living in same household of each, are not eligible to enter or win.

5. ENTRY. To enter the Contest, create a short video (one minute or less) in which you recreate the sound of a My Bloody Valentine song (or songs) using your effects pedals. Share your video on Twitter or Instagram using the hashtag #MyBloodyPairing. You must have a Twitter or Instagram account to participate in this Contest. There is no purchase required to register for an account. To accept your Submission, your account and/or post to social media must be public; otherwise, we won’t be able to see your post. Entrants may enter multiple Submissions during the Contest Period. The Contest is in no way sponsored, endorsed or administered by, or associated with Twitter, Facebook, Instagram or other platforms.

For your Submission to be eligible, your Submission must: (1) be shared publicly on Twitter or Instagram and it must remain public during the Contest Period; (2) include a video of 60 seconds or less in which you emulate the tone of at least one My Bloody Valentine song using guitar pedals; (3) the copy must contain the hashtag #MyBloodyPairing. Limited to one submission per entrant. Submission restrictions are detailed below.

The Submission should not prominently display, incorporate or reference the intellectual property, copyrights, or trademarks of any third party or entity without prior express permission (for example, without limitation, it must not include unlicensed third-party music, lyrics, graphics, etc.). The Submission must not otherwise require the consent of any third party or entity in any jurisdiction. It must not prominently display any unacceptable clothing or adornments, or identifiable commercial/corporate advertising (including but not limited to any third party corporate logos, brand names and slogans). The Submission must not contain defamatory statements (including words or symbols that are widely considered offensive to individuals of a certain race, ethnicity, religion, sexual orientation, or socioeconomic group). The Submission must not include threats to any person, place, business, or group; it must not violate privacy, publicity or other rights of any person, firm, entity, and it must not in any way violate applicable federal, state, or local laws and regulations. Submission must not include or show any dangerous behavior or activity or contain content that promotes dangerous activities that may result in injury to oneself or others. Submission must not contain indecent behavior, profanities or obscenities, including but not limited to nudity, or pornography, and must not in any way disparage persons or organizations associated with Sponsor. Submission must not include any personally identifiable information or personal data (e.g. last name, address, school, place of work, etc.) of Entrant or any other person(s), whether they appear in the photo Submission or not. Sponsor also reserves the right to exclude any Entrant if it deems a username, profile information or any portion of Entrant’s tweets to be offensive in any form. All violations of the above referenced standard will be determined in the sole discretion of the Sponsor and without the right to cure or appeal such a determination.

If, in the opinion and sole and absolute discretion of Sponsor, any entry violates any law, rule or regulation or infringes upon the rights of any third party, is inaccurate, illegible, incomplete or irregular in any way, or otherwise does not comply with these Official Rules, or the Sponsor’s Terms and Conditions, Sponsor may disqualify the entry. This Contest may be cancelled in the event that, in the sole discretion of Sponsor, an insufficient number of eligible entries are received. All submissions become the property of the Sponsor and will not be acknowledged or returned.

6. ELECTRONIC COMMUNICATIONS. By submitting your Contest entry on social media, the five (5) chosen finalists agree to communicate for the purpose of this Contestal competition with Sponsor electronically. Sponsor will not communicate or accept personal data from entrants generally. If chosen as a finalist, by agreeing to electronic communications, you (i) consent to the transfer of your personal data to the United States of America to be stored on the Sponsor's servers there, (ii) consent, subject to Sponsor's Privacy Policy (available at https://reverb.com/page/privacy) and Sponsor’s EU Data Transfer/GDPR Policy (https://reverb.com/page/eu-data-transfer-GDPR) and Rule 10 below, to the electronic communication and delivery via e-mail of all documents related to the Contest and Sponsor's marketing of musical instruments and related products and services, (iii) represent that you have Internet access and a valid e-mail address enabling you access to the Website and to receive communications and documents electronically, and (iv) represent that you have or have access to a printer or other device to print or otherwise save communications and documents including, without limitation, these Official Rules and that you have, in fact, printed or otherwise saved a copy of these Official Rules for your records. This consent is effective unless and until you withdraw it. If adjudged a finalist, you may withdraw your consent, be forgotten or request erasure of your personal data by sending a request to consentwithdrawal@reverb.com.

7. WINNER SELECTION. After the Contest Period ends, the Submissions will be judged by a qualified panel of judges (“Judges”), who will evaluate each Submission based on the following criteria: (i) adherence to the qualifications for ENTRY - see above; (ii) creativity and originality; and (iii) closest tonal emulation of the original My Bloody Valentine sound. (collectively, the “Criteria”).

The judges will review all qualified Submissions and will select five (5) finalists. The submissions of these finalists will be posted to Reverb’s website and users will be free to vote for their preferred submission. The submission with the highest number of user votes will be declared the contest Winner (individually “Winner” and collectively, “Winners”). Decisions of judges and subsequent audience selection are final and binding. In the event there are not enough eligible Submissions, not all prizes will be awarded. If a potential Winner is unable for whatever reason to accept their prize, then Sponsor reserves the right to award the prize to another Entrant. Submission eligibility is subject to the verification of Sponsor, and in the event that a top-judged Submission is disqualified, an alternate Winner will be selected from among all eligible Submissions.

Notification of Winners. At the end of Contest Period, the Winners will be posted on Reverb’s social media accounts (Facebook: http://facebook.com/reverbmarket, Instagram: http://instagram.com/reverb and Twitter: http://twitter.com/reverbdotcom) If we choose you as a Winner, we will contact you to collect a bit of information from you, in order to give you your prize. If we do not get a response from you within 24 hours of our initial contact, we reserve the right to rescind the offer of a Prize to you, and we may award the Prize to another Entrant. In no event shall Sponsor aware more than the stated number of Prizes.

Except where prohibited by law, Winners may be required to execute an Affidavit of Eligibility and Liability Release within seven (7) days (including Weekends and Postal Holidays) of attempted notification. Noncompliance with this time period may result in disqualification without further notice and an alternate Winner will be selected. Sponsor reserves the right, in its sole discretion, to determine whether or not an Affidavit of Eligibility or Liability Release is necessary.

Sponsor reserves the right to post each Winner’s first name and Submission on Reverb’s Twitter Page. Winners shall be announced no later than August 30, 2018 at 6:00PM ET.

8. PRIZE. One (1) grand prize winner shall be awarded $500 USD (or equivalent international value) in Reverb credit to be used toward purchases on Reverb.com or Reverb LP. Four (4) runners-up shall be awarded $50 USD (or equivalent international value) in Reverb credit. Approximate retail value (“ARV”) of all prizes is approximately $700 USD. Limit one Prize per Entrant. Certain restrictions may apply. Sponsor reserves the right to substitute a Prize, in whole or in part, of equal or greater monetary value if a Prize cannot be awarded as described for any reason. Winners are solely responsible for any local, state or federal taxes, and any other taxes, fees and costs connected with the Prize. Sponsor has not made and is not responsible in any manner for any warranties, representations, or guarantees, express or implied, in fact or law, relating to the Prize(s).


9. PRIZE FULLFILLMENT/DELIVERY. Prize winner will have their prize delivered to them by Sponsor, at Sponsor's expense, within thirty (30) days of the Drawing or the winner being notified of winning (whichever is later). Upon notification, winner will be asked to designate, and confirm a physical address where Sponsor can deliver Prize.

10. DISCLAIMERS. Sponsor assumes no responsibility and is not liable for entries that are late, delayed, misdirected, illegible, or incomplete, and Sponsor assumes no responsibility and is not liable for system errors and failures, mechanical equipment malfunctions, viruses, hacker attacks, faulty transmissions, or other telecommunications malfunctions. Proof of transmissions does not constitute proof of entry. By entering this Contest, each entrant agrees to be bound by these Official Rules and the decisions of the Sponsor.

11. PRIVACY. Sponsor respects your privacy. With the exception of the five finalists, no personal data is gathered from any entrant in this Contest. To learn more about how Sponsor treats your information, you may access and view the Privacy Policy at https://reverb.com/page/privacy and the EU Data Transfer/GDPR Policy at https://reverb.com/page/eu-data-transfer-GDPR.

Personal information of the five finalists may be used to: (a) contact participants regarding the Contest; and (b) if a participant selects to receive additional information, to send additional information to that participant. If adjudged a finalist, you may withdraw your consent, be forgotten or request erasure of your personal data by sending a request to consentwithdrawal@reverb.com.

12. RIGHT TO CANCEL OR TERMINATE. If, for any reason, the Contest is not capable of running as planned, including because of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, corruption, hacker attacks, faulty transmissions, force majeure, or any other cause beyond the control of Sponsor which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest. And, in such an instance, Sponsor may, in its sole discretion, decide to award the prize by random drawing of all eligible entries if it is able to do so fairly. If Sponsor chooses to exercise such right, Sponsor will notify all entrants by posting a conspicuous notice on the Website. Entry into the Contest constitutes agreement to this provision. If any provision(s) of these Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.

13. PERMISSION TO USE NAME/LIKENESS. Any prize winner, by submitting an entry, grants permission to have his or her name, city, photograph and/or likeness used worldwide in any manner the Sponsor may deem appropriate for advertising, trade and/or Contestal purposes related to the Contest without additional compensation or right of review, including without limitation, posting the winner's name on any Sponsor website unless prohibited by law. A potential prize winner will be required to sign a release to permit such use, unless prohibited by law.

14. RELEASE OF LIABILITY. To the maximum extent permitted by law, and except as noted in Section 20 below, each entrant, by entering the Contest, and the winner, by accepting the prize, release the Sponsor, and Sponsor's subsidiaries, affiliates, agencies, directors, officers, agents and employees from any and all liability, claims or actions of any kind whatsoever for any damage, loss or injury (excluding death or personal injury caused by negligence) resulting from or arising out of participation in this Contest, and, as to the winner, the acceptance, use, misuse, possession, loss or misdirection of the applicable prize, unless prohibited by applicable law. The winner must sign a Certificate of Eligibility and Liability/Publicity Release prior to receiving the prize, unless prohibited by law.

15. CONDUCT. By participating, you agree to comply with and be bound by these Official Rules. Failure to comply with these Official Rules may result in disqualification or ineligibility to receive a prize. You further agree to comply with and be bound by decisions of Sponsor, which shall be final in all respects. Sponsor reserves the right at its sole reasonable discretion to disqualify any individual it finds to be: (a) tampering or attempting to tamper with the operation of the Contest and/or the Website; (b) violating these Official Rules; or (c) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.

16. DISCLAIMER. UNLESS PROHIBITED BY APPLICABLE LAW, AND EXCEPT AS NOTED IN SECTION 20 BELOW, THE PRIZE WILL BE AWARDED AS IS AND SPONSOR (TOGETHER WITH ITS AFFILIATES, SUBSIDIARIES, DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS) DISCLAIMS ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND REGARDING THE PRIZE.

17. REQUEST FOR WINNERS LIST. Send winner requests within 6 months after the end of the Term to: Reverb.com ("Sponsor") located at 3345 North Lincoln Avenue, Chicago, IL 60647 United States

18. GOVERNING LAW. The Contest is governed by the laws of the State of Illinois. By entering, entrants consent to the jurisdiction and venue of the federal, state and local courts located in Cook County, Illinois for the resolution of any disputes.

19. ARBITRATION. By participating, you agree that exclusive jurisdiction for any dispute, claim, or demand related in any way to the Contest will be decided by binding arbitration. All disputes between you and Sponsor, of whatsoever kind or nature arising out of these Official Rules, shall be submitted to Judicial Arbitration and Mediation Services, Inc. ("JAMS") for binding arbitration under its rules then in effect in the Phoenix, Arizona, USA area, before one arbitrator to be mutually agreed upon by both parties. The parties agree to share equally in the arbitration costs incurred.

20. SPECIAL NOTICES FOR ENTRANTS IN DESIGNATED COUNTRIES/REGIONS.

DENMARK: Sponsor must pay 17.5% of the prize value and must report the award of the prize no later than fourteen (14) days from the date of publication of the winner.

FRANCE. Upon written request, Sponsor will refund to the participant the expense of the participant's Internet connection incurred to enter the Contest evaluated to the amount of €0.50. Participants will be required to provide proof that expenses were incurred to enter the Contest. The postage used in this request may also be refunded upon written request to the Sponsor.

GERMANY. The statutory liability of Sponsor for damages arising out of the participation in the Contest shall be limited to the amount of damages typically foreseeable at the time of agreeing to these Official Rules in respect of damages caused by a slightly negligent breach of a material contractual obligation (i.e. a contractual duty the fulfilment of which enables the proper performance of this Contest, the breach of which endangers the purpose of these Official Rules and on the fulfilment of which participants in this Contest regularly rely). Sponsor shall not be liable for damages caused by a slightly negligent breach of a non-material contractual obligation. The aforesaid limitation shall also apply to Contest and advertising agencies of the Sponsor involved in the Contest, and all respective officers, directors, employees, representatives and agents of each. The aforesaid limitations of liability shall, however, not apply to liability for assuming a specific guarantee or liability for damages caused by wilful or grossly negligent misconduct, or any kind of wilfully or negligently caused injuries to life, body or health.
